CONSTITUTION

ARTICLE I NAME AND PURPOSE

Section 1: This Association shall be known as the North Carolina Association of FSA County Office Employees hereinafter refereed to as NoCASCOE. The offices of the Association shall be located in the city of residence of the Association President and/or Secretary unless otherwise designated by the Board of Directors.

Section 2: The purpose of the Association shall be to promote the welfare of the Association members.

ARTICLE II MEMBERSHIP

Section 1: Any county office FSA regular employee may become a member of the State Association upon request and payment of State Association dues. For the purpose of NoCASCOE membership, county office employees shall include all regular CO employees, all regular GS Ag Credit Support personnel, all regular GS Ag Credit Officers, all GS Ag Credit Officer Trainees, and all regular GS Ag Credit Managers.

Section 2: Each individual member must show in good faith that he or she is interested in the purpose of this Association. He or she must not be a member of an organization of government employees who asserts the right to strike against the government of the United States, and during such times as he or she is a member of this Association must not become a member of an organization of government employees who asserts the right to strike against the government of the United States. Any person who belongs to an organization which advocates the overthrow of our constitutional form of government shall not be allowed membership in this Association. No officer or member of NoCASCOE shall use his office or membership for the purpose of engaging in activities other than the stated purpose of this organization.

Section 3: Any county office employee may be rejected and/or dismissed from membership in the State Association by a two-thirds vote of the Board of Directors of the State Association.

Section 4: Persons other than county office FSA regular employees may become associate members of the State Association, without voting privileges, when invited by a member of the State Association and upon payment of dues.

ARTICLE III GOVERNMENT

Section 1: The governing body of the Association shall be vested in a Board of Directors composed of four (4) members from each NoCASCOE district, to be duly elected by the members of each representative district and shall be elected to serve in the manner provided in the By-Laws. These four directors shall consist of at least one regular county office employee other than the County Executive Director. These four directors shall be responsible for the general management of the organization as stated in the By-Laws.

Section 2: The Executive Committee shall consist of the three State Officers, the immediate Past President, and one Executive Committeeperson or one alternate from each NoCASCOE district as outlined in the By-Laws. Alternates from each area to serve in the absence of an Executive Committeeperson from his area shall be provided. Either the Executive Committeeperson or the Alternate must be a regular employee other than a County Executive Director. Election to be as provided in the By-Laws.

Section 3: The officers of this Association shall be a President, Vice President, and a Secretary-Treasurer, and shall be elected and serve as provided by the By-Laws.

Section 4: The Executive Committee shall be the executive arm of the Board of Directors. It shall consider each preceding action taken by the Board to see that such action is carried out. It shall receive a report from the President of his activities since prior meetings and reports from the chairpersons of all standing or special committees prior to each meeting of the Board. The Executive Committee shall not have the power to change these reports, but shall recommend to the Board their approval or disapproval of such reports. During the intervals between lawful meetings of the Board, the Executive Committee may authorize action which may be considered urgent but which has not been specifically considered by the Board. Such action must be in keeping with the By-Laws of the Association and ratified by the Board at the next lawful meeting.

Section 5: The President and Vice-President of the State Association shall be the regular members of the Nation Board of Directors. The Secretary-Treasurer will serve as an alternate.

Section 6: The delegate and alternate elected from each District to serve on the Executive Committee will also serve as Chairperson and Secretary for the District at all functions.

ARTICLE IV AMENDMENTS

Section 1: This Constitution may be amended at any regular or special meeting of the Board of Directors when so approved by a vote of two-thirds of the members present, provided, however, that a copy of the proposed amendment shall have been mailed to all of the directors not later than thirty days immediately preceding the meeting at which the proposed amendment is voted on.
